BGLC enters exclusive Malaysia healthcare licence deal with RYET
BGLC agreed to issue 560,000 common shares (16% of post-deal equity) to RYET in exchange for an exclusive ten-year Malaysian healthcare licence to CogniAI's document-intelligence platform and 500,000 RYET shares worth $3.5 million at closing. The deal remains pending regulatory and corporate approvals with closing subject to technology acceptance and due diligence, with a March 31, 2027 deadline; material equity dilution is certain but commercial upside is unproven and conditioned on closing milestones."
BGLC is giving up 16% of its shares to get exclusive rights to sell an AI document-reading platform in Malaysia for ten years, with royalties paid to its partner Ruanyun Edai (RYET) on any revenue it makes. The deal hasn't closed yet and requires several approvals.
